Family governance systems: the complementary role of constitutions and councils
2021
The understanding of family businesses from the family side is still in its infancy. This is especially true in relation to how family members manage their relationships with one another and with the firm. Family growth and evolution are usually accompanied by a reduction in shared family meaning and purpose and greater divergence in the form of factional interests and intentions that harm the family and the firm. To counterbalance this negative impact, scholars generally advocate a set of corporate governance practices. However, few papers have analysed how family regulatory frameworks and family governance institutions affect family firm performance. To the best of our knowledge, no paper…
Insurance Distribution Carried Out by Insurers in Spain
2020
AbstractIn this chapter I analyze the impact that Directive 2016/97 has on insurance companies. The new requirements for employees who distribute the insurance policies of the insurance company increase the protection for customers. In addition, these new requirements lead to a reform of the governance system of the insurance company. New policies, new procedure manuals are necessary to carry out the distribution of insurance by the insurance company. Therefore, I will study the new legal requirements and their impact on the Spanish regulations.
Integration Through Participation Introductory Notes to the Study of Administrative Integration
2002
When aiming at studying the interconnectedness of administrative systems - and in particular the integration of domestic governance systems and the institutions of the European Union - at least two variables are important to address: (i) the intensity and frequency of cross-level interaction and participation amongst the members of these systems, and (ii) the principles of organization being uppermost at both levels of governance. This article argues that in order to measure administrative integration, particular emphasis should be attached to the way these variables impact upon the organization members individually. Put more precisely, I argue that studies of administrative integration sho…

Poverty, taxation and governance
2006
In a simple model based on political support approach, we show that poor and less egalitarian societies may impose a lower tax rate contrary to the prediction of the median voter approach. This is consistent with the available empirical findings. In the framework developed in this paper, the government can strategically design a weak governance system to promote informal activities for the poor. This constitutes an alternative redistributive strategy other than the standard tax-transfer policy. The government chooses the tax rate and the degree of governance simultaneously to maximize the average income of the poor in the informal sector of the economy, i.e. those who constitute the majorit…
Governance of global value chains after the Covid-19 pandemic: A new wave of regionalization?
2021
The disruption of the trade and investment activities of multinational enterprises as a consequence of the Covid-19 pandemic has reinvigorated the debate on the configuration of global value chains (GVCs) as well as the risks and challenges associated with offshoring. This article depicts how the pandemic might affect GVC configuration by driving a trend toward a more regional footprint in industries in which resilience and reliability are critical. Such a shift would create new opportunities for reshoring, and affect both the types of upgrading trajectories and the governance systems in value chains. The article also draws from the intersection of the global-strategy and value-chain field…
